The legal shield conversation around AI companies gets more complicated when you move into clinical medicine, because the liability isn't just cracking — it's been deliberately redirected. Standard SaaS indemnification clauses in AI vendor contracts with health systems explicitly push all clinical liability onto the ordering physician. The vendor's exposure is often capped at the contract value. A radiologist using an FDA-cleared AI tool to read a mammogram is, contractually and legally, the last line of defense when something goes wrong.

What makes this particularly sharp is the FDA clearance paradox. Over 1,300 AI-enabled medical devices have been cleared as of late 2025, 97% of them through the 510(k) pathway — which establishes substantial equivalence to a predicate device, not clinical superiority or safety in deployment. That clearance gets used in marketing but offers vendors almost no direct liability shield, and yet physicians treat it as validation they should rely on. The gap between what clearance means and what clinicians assume it means is where a lot of future litigation is going to live.

There's also a deskilling mechanism that never gets mentioned in these legal discussions. A trial in Poland showed that endoscopists using AI assistance improved their adenoma detection rate while the AI was present — but dropped significantly when it was removed. If a physician's independent clinical judgment is degrading because of AI reliance, and they then face a malpractice claim in a case where they overrode or ignored the AI, that's a compounding liability problem the current framework has no answer for.

The deeper issue is that this asymmetric risk structure — vendors bear almost none, physicians bear nearly all — is actively suppressing adoption of tools that in some trials are demonstrably better than unaided human review. That's the real patient safety story underneath the legal one, and it's what makes the current vendor contracting strategy a ticking clock rather than a durable competitive moat.
